The Trainaq exercise video licence

1. About this licence

This licence is between MyGymDesk Technologies Private Limited (CIN: U62013TS2026PTC213750), which owns and operates Trainaq, with its registered office at Flat J705, Aparna Sarovar Zicon, Nallagandla, Serilingampally, Hyderabad - 500019, Telangana, India ("we", "us", "our"), and the company or other legal entity that buys the Trainaq Exercise Video Library ("you", "your"). If you buy without naming a company, the licence is yours as an individual.

It applies to the plan you bought and to every file in it: the exercise videos, the data file in JSON and CSV, and any updates we send you (together, "the Library"). By downloading or using the Library you accept this licence.

2. What we grant you

We grant you a lifetime, non-exclusive, worldwide licence to copy, store, display and include the Library in your own apps, websites, software and other products, and in the marketing of those products. The licence cannot be transferred, except to a company that takes over the business or product that uses the Library.

You may edit the files to suit your products: trim, crop, resize, re-encode or compress them, change their speed, add overlays such as text, timers or your logo, and edit or extend the data file. Edited files are still covered by this licence, and the limits in section 5 apply to them too: edited videos may not be redistributed as a library either.

You do not need to credit Trainaq anywhere.

3. Who may use the Library

One licence covers one company or legal entity. Within it, these people may use the Library to build and run your products:

• your employees;
• contractors and agencies working on your products, only for that work, and only while they work for you.

Every other company, including a parent, subsidiary or sister company, needs its own licence.

Agencies and developers building for a client. An agency or developer may buy the Library for one client company. That client company is then the licensee, named at checkout, and the agency may use the files only to build and run that client's products. Building for another client needs another licence, bought for that client.

4. Where you may use it

• In unlimited apps, websites, software and devices of yours, including commercial and paid apps, subscriptions and products you sell to your own customers.
• On your own servers, storage, app stores and content delivery networks.
• For any number of your users, members, clients and customers, who may watch the videos inside your products.
• In videos, social media posts and ads that market your own products, for example a short clip of your app showing a workout. The videos must not be the product themselves, such as a workout video you sell or publish on its own.

5. What is not allowed

• Reselling, giving away or otherwise redistributing the videos or the data file as a library, stock pack, template pack or collection, or in any form where the files themselves (rather than your product) are what is offered.
• Sublicensing the Library, or letting another company use it under your licence.
• Sharing the files with anyone outside your company, except the contractors in section 3.
• Using the videos or the data file to train, fine-tune or test artificial intelligence or machine-learning models, or to build data sets for that purpose.
• Removing or hiding the files' origin in order to claim them as your own original work, or registering them as your own.
• Using the Library in a way that is unlawful, or that presents Trainaq as endorsing your product.

Your users may watch the videos in your products, but your products must not let them download the files as a set.

6. Ownership

We, or our licensors, own the Library and all rights in it, including copyright. This licence gives you the right to use the Library; it does not transfer ownership. You own your own products and your own content.

7. Updates

For 12 months after your purchase, any update we make to your plan's videos or data file is yours for free, through the My downloads link in your purchase email. Download links work for 7 days; you can ask for fresh links on the My downloads page. After the 12 months you keep using everything you already have, for life.

8. Term and ending the licence

The licence starts when your payment is confirmed and lasts for ever, unless it ends under this section.

If you break this licence, we may end it by writing to you. When the breach can be fixed, we will first give you 30 days to fix it. If the licence ends, you must stop using the Library, delete every copy you and your contractors hold, and remove it from your products within 30 days.

If a payment is reversed, for example by a chargeback, the licence for that purchase ends in the same way.

9. No warranty

We make the Library with care, but we provide it "as is". We do not promise that it suits a particular purpose, that it is free of every error, or that the exercises are right for any particular person: the videos show how an exercise is done and are not medical or training advice. If a file is faulty or missing, we replace it, as the terms of sale explain.

10. Limit of liability

To the extent the law allows, our total liability to you for anything to do with the Library or this licence is limited to the price you paid for it. We are not liable for indirect or consequential losses, such as lost profits, lost data or business interruption. Nothing here limits liability that the law does not allow to be limited.

11. Governing law and courts

This licence is governed by the laws of India. The courts at Hyderabad, Telangana, have exclusive jurisdiction over any dispute about it.
