Partner Agreement

1. About this agreement

This Partner Agreement ("Agreement") is between MyGymDesk Technologies Private Limited (CIN: U62013TS2026PTC213750), a company incorporated under the Companies Act, 2013, with its registered office at Flat J705, Aparna Sarovar Zicon, Nallagandla, Serilingampally, Hyderabad - 500019, Telangana, India, which owns and operates Trainaq ("Trainaq", "we", "us", "our"), and the person or business that applies to the Trainaq Partner Programme ("Partner", "you", "your").

By ticking "I agree to the Partner Agreement" and submitting the application, you confirm that you have read and agree to this Agreement. This is a valid electronic contract under the Information Technology Act, 2000. If you apply on behalf of a business, you confirm that you are authorised to bind it. This Agreement sits alongside our Terms of Service and Privacy Policy; if you are also a Trainaq coach, your coaching account stays under the Terms of Service.

2. Definitions

  • Referred Coach: a coaching business that signs up for Trainaq through your Referral Link or with your Referral Code, and that is new to Trainaq (Section 5.4).
  • Referral Link and Referral Code: the link and the code we give you when we approve you.
  • Plan Payment: a payment a Referred Coach makes to Trainaq for their Trainaq plan, including add-ons and plan upgrades, as shown on Trainaq's invoice.
  • Commission Period: the 12 months that start on the date of the Referred Coach's first Plan Payment.
  • Commission: the amount you earn under Section 7.

3. Joining the programme

1. Anyone aged 18 or over can apply: coaches who use Trainaq, creators and influencers, agencies, resellers and training institutes. Joining is subject to our approval. 2. We aim to decide on an application within 3 business days. We may approve or reject any application at our discretion; if we reject it, we tell you the reason in short. 3. When we approve you, we set your partner type: a coach partner (you coach on Trainaq) or an external partner (everyone else). Your type sets your default Commission rate (Section 7). 4. You must give us true and complete information and keep it up to date. One partner account per person or business.

1. We give you a Referral Link and a Referral Code. On request, and at our discretion, we can give you a custom code. 2. A coach who signs up with your Referral Code, or through your Referral Link, gets 10% off each Plan Payment in their first 12 months, or off their first yearly payment if they pay yearly. The discount applies to the plan price before GST, and also to the yearly price. It does not add to any other discount we give that business; the larger of the two applies. 3. You may not offer the coach anything else of value (cash back, a share of your Commission, a rebate or free services tied to signing up) for using your link or code.

5. How referrals are tracked

1. Tracking window: a click on your Referral Link is remembered for 90 days on that browser. If the coach signs up within that window, the sign-up is yours. 2. More than one partner: the last partner whose link the coach clicked before signing up gets the referral. A Referral Code typed at sign-up beats any link. 3. Locked at sign-up: once a coach signs up as your referral, the referral stays yours through their free trial and until their Commission Period ends. 4. New coaches only: a coach counts only if neither they nor their business has ever paid Trainaq for any business. A coach who already uses Trainaq, or signed up before clicking your link, is not a Referred Coach. 5. Our records decide: attribution is decided by our tracking and records. Clicks blocked by the coach's browser, cleared cookies or a sign-up on another device may not be tracked; we will look into a missing referral if you write to us within 30 days of the sign-up, and our decision is final.

6. Who you cannot refer

You may not refer, and no Commission is earned on:

  • yourself, a business you own or control, or a business of your employees, partners or family members;
  • a coach who already uses or has used Trainaq (Section 5.4).

We check this using the information we hold: the Trainaq account, PAN, bank account, email domain and phone number. If a referral breaks this Section, we may cancel it and reverse its Commission.

7. Commission

1. Rate: your Commission rate is shown in your partner dashboard. The default rates are 20% for external partners and 10% for coach partners. We may agree a different rate with you in writing. 2. What it is earned on: you earn your rate on each Plan Payment a Referred Coach makes during their Commission Period. The base is what the coach actually paid for the plan after the discount and before GST; GST, payment gateway fees and Route fees on the coach's own client payments are never part of the base. 3. Yearly plans: if a Referred Coach pays yearly, you earn your rate on their first yearly payment. If they move from monthly to yearly during the Commission Period, you earn your rate on the part of the yearly payment that covers the months left in their Commission Period. 4. Currency: Commission is earned in the currency the coach paid in (Indian rupees or US dollars), and paid in that currency. 5. Coaches billed outside the online checkout: for a Referred Coach who pays Trainaq by invoice outside the online checkout, Commission is earned when we record their payment. 6. Rate changes: a change to your rate applies only to Plan Payments made after the change, never to Commission already earned.

8. Holds, refunds and chargebacks

1. Commission becomes available for payout 7 days after the Plan Payment, or 30 days after a yearly payment. 2. If a Plan Payment is refunded, credited by a credit note or reversed by a chargeback, the Commission on it is reversed in full or in part. If that Commission was already paid to you, the amount is deducted from your future payouts. 3. We may hold your Commission and payouts while we review a possible breach of this Agreement. We will tell you when we start a review.

9. Payouts

1. We pay once a month. Each month's available Commission is paid after the hold; for example, Commission on October's payments is paid after 7 November. 2. Minimum: we pay when your available balance is at least ₹1,000 for earnings in Indian rupees and $10 for earnings in US dollars. A smaller balance carries over to the next month. 3. Methods: bank transfer in India (Indian rupees), international wire transfer, or PayPal. We pay the fees of bank transfers in India; wire transfer and PayPal fees are yours and are deducted from the amount sent. 4. Your payout details: in India: your legal name, PAN, and bank account number with IFSC. Outside India: your legal name, country, and PayPal email or wire transfer details. You are responsible for their accuracy; a payment sent to details you gave us counts as paid. 5. Unclaimed money: if you have not given us payout details, we keep your available Commission and remind you each month. Commission that stays unclaimed for 12 months after it became available is forfeited. 6. Each payout comes with a statement in your partner dashboard listing the Commission it covers.

10. Taxes

1. Commission amounts are stated before any tax. You are responsible for your own income tax and, where you are registered for GST in India, for charging GST on your Commission; we will tell you how to send us a GST invoice. 2. Where Indian law requires us to deduct tax at source (TDS) from your Commission, we will deduct it, pay it to the government and give you the certificate. We will tell you before we start. 3. Partners outside India may be asked for a tax residency declaration before a payout where the law requires it.

11. How you may promote Trainaq

1. Honest claims only: describe Trainaq truthfully and only with facts published on trainaq.com. Do not promise prices, features or results that trainaq.com does not state. 2. Disclosure: clearly disclose that you earn a Commission when you share your link or code (for example "#ad", "affiliate link" or "I earn a commission"), as the Advertising Standards Council of India's guidelines for influencer advertising and the laws where you promote require. 3. Paid search and domains: do not bid on "Trainaq" or its misspellings in paid search ads, and do not use "Trainaq" in a domain name, app name or social media handle. Other paid advertising is allowed. 4. No spam or fraud: no unsolicited bulk email, SMS or WhatsApp messages; no cookie stuffing, hidden or automatic clicks, fake sign-ups or misleading redirects; no posting your code on coupon or deal sites. 5. Our name and brand: use the Trainaq name, logo and materials we provide without changing them. Do not suggest that you are Trainaq, work for Trainaq or speak for Trainaq, and do not offer Trainaq support.

12. Resellers and agencies

Partners refer coaches only. A Referred Coach signs up and pays Trainaq directly, under our Terms of Service. You may not bill coaches for Trainaq, resell Trainaq plans, or hold a coach's Trainaq account on their behalf, unless we sign a separate reseller agreement with you.

13. Your information and referred coaches' information

1. We use your personal information to run the programme, pay you and meet our legal duties, as our Privacy Policy describes, including under the Digital Personal Data Protection Act, 2023. 2. Your dashboard shows each referral's status and the Commission it earned. It does not show a Referred Coach's contact details or their clients' data, and you may not ask Trainaq for them.

14. Relationship

You are an independent contractor. Nothing in this Agreement makes you our employee, agent, franchisee or partner in law, and you cannot make commitments on our behalf. You bear your own costs of promoting Trainaq.

15. Ending the agreement

1. You may leave the programme at any time by writing to us. We may end this Agreement by giving you 15 days' notice by email, or straight away if you break it. 2. After it ends, we pay Commission already earned on Plan Payments made before the end date, under Sections 8 and 9, unless the Agreement ended because you broke it, in which case unpaid Commission is forfeited. 3. Your link and code stop working when the Agreement ends. We do not end a partnership only because it has been inactive.

16. Changes to this agreement

We may change this Agreement, the default rates or the discount by telling you at least 30 days in advance by email and in your partner dashboard. A change applies only to Plan Payments made after it takes effect. If you do not agree, you may leave the programme before it takes effect.

17. Liability and indemnity

1. The programme is provided "as is". We do not guarantee any number of referrals or any level of earnings. 2. Our total liability to you under this Agreement is limited to the Commission paid or payable to you in the 12 months before the event giving rise to the claim. Neither party is liable for indirect or consequential loss, or loss of profit. Nothing limits liability for fraud or any liability that cannot be limited by law. 3. You will indemnify us against claims, losses and costs (including reasonable legal fees) arising from your breach of this Agreement, your marketing, or your breach of any law.

18. Governing law and courts

This Agreement is governed by the laws of India. The courts at Hyderabad, Telangana, India have exclusive jurisdiction over any dispute arising out of or in connection with it.

19. General

  • Entire agreement: this Agreement, with our Privacy Policy, is the whole agreement between you and us about the programme.
  • Severability: if a part of this Agreement is found invalid, the rest stays in force.
  • Waiver: not enforcing a right is not a waiver of it.
  • Assignment: you may not transfer this Agreement without our written consent. We may transfer it to an affiliate or in a merger or sale of our business.
  • Notices: we write to the email address you gave in your application; you write to us at support@trainaq.com.
